Bain Capital Leads $74 Million Investment in RQD Clearing as Options Volumes Surge

Bain Capital Tech Opportunities has led a $74 million minority growth investment in RQD Clearing, backing the U.S. clearing and custody provider as record options activity and the expansion of digital trading increase demand for modern market infrastructure.

ABN AMRO Clearing Bank and fintech investor Nyca Partners also participated in the Aug. 27 transaction. The new capital will fund RQD’s expansion across North America, Asia and the Middle East and accelerate investment in technology, digital-asset custody and tokenization capabilities, the companies said.

The deal gives Bain Capital exposure to the infrastructure behind rising U.S. equity and options trading rather than to a consumer brokerage or trading venue. RQD provides clearing, custody and execution infrastructure to broker-dealers, registered investment advisers and foreign financial institutions seeking access to U.S. markets.

Bain Targets the Infrastructure Behind Trading Growth

RQD has reached meaningful scale as options trading has expanded sharply.

The company said it has processed more than 543 million ledger transactions so far in 2026 and cleared approximately 515 million equity transactions representing 69.5 billion shares. Those trades carried nearly $2 trillion of notional value and represented about 2.43% of National Market System equity activity, according to the official Bain Capital and RQD transaction announcement.

RQD has also cleared nearly 64.8 million options contracts this year, representing $120.7 billion in premiums and approximately $3.93 trillion of notional value. The company estimates that activity represents about 0.63% of the U.S. options market.

That provides Bain Capital with a direct growth thesis tied to transaction volumes. Clearing firms operate behind trading platforms, handling functions necessary to complete transactions and maintain customer assets after trades are executed.

The investment is being made through Bain Capital Tech Opportunities, which targets growing technology companies rather than through Bain’s traditional buyout strategy. Bain Capital manages approximately $225 billion across private equity, growth and venture investing, capital solutions, credit and real assets.

The RQD transaction adds another financial-technology investment to a private-capital market increasingly focused on the infrastructure required to support new investment products and distribution channels. PE NEWSWIRE has tracked a related shift through SEI and Carlyle’s partnership to expand private-market access for wealth and retirement investors, where technology and investment platforms are being used to broaden access to alternative assets.

Options Boom Strengthens the Investment Case

RQD’s fundraising comes during an exceptional period for U.S. listed options.

Options Clearing Corp. reported 1.55 billion options contracts in July, an increase of 25.7% from a year earlier. Average daily options volume during the first seven months of 2026 reached 70.8 million contracts, up 23.9% from the comparable 2025 period.

ETF options have been an especially strong contributor. July ETF options volume increased 59.1% year over year to 668.4 million contracts, while index options volume climbed 33.6% to 133.9 million contracts. Equity options increased 4.9% to 748.2 million.

The Options Clearing Corp.’s July 2026 volume report provides independent evidence for the market expansion underpinning the investment. June was even stronger, with total options volume rising 45% year over year to 1.60 billion contracts.

High volumes create greater demand for clearing capacity, risk management, custody and real-time data. They also increase the importance of infrastructure that can connect newer digital brokerages and international institutions with U.S. markets.

For Bain, that offers a different risk profile from betting on an individual trading platform. RQD’s potential growth is linked to the broader ecosystem of financial institutions that need to process transactions, although its performance will still depend on winning clients, maintaining regulatory compliance and competing against established clearing providers.

RQD Built Its Platform Outside Legacy Systems

RQD positions its technology architecture as a central differentiator.

Rather than placing a new software interface over another firm’s clearing infrastructure, RQD says it built its own proprietary clearing platform. The system gives clients real-time access to transaction and risk information and supports direct API integration.

Its services cover U.S.-listed equities, options, exchange-traded funds and mutual funds, while the platform supports extended-hours trading and 24×5 access to U.S. equity markets.

That architecture targets a longstanding issue in financial-market infrastructure: many post-trade systems were developed before cloud computing, real-time APIs and today’s digitally distributed brokerage industry.

As brokers expand trading hours and offer increasingly sophisticated products, the systems responsible for clearing and custody must process higher transaction volumes while providing more immediate information about positions and risk.

RQD is effectively selling that modernization to financial institutions rather than competing directly for retail traders.

Digital Assets Add a Second Growth Strategy

The investment also extends beyond conventional equities and options.

RQD plans to use part of the $74 million to develop digital-asset and tokenization capabilities and strengthen its infrastructure for digital-asset custody. It is also targeting financial institutions seeking to connect traditional U.S. securities markets with emerging blockchain-based financial infrastructure.

Tokenization has attracted growing attention from asset managers, banks and alternative-investment firms because securities represented on blockchain infrastructure could eventually alter issuance, trading, collateral management and settlement processes.

For clearing providers, however, the transition creates both an opportunity and a strategic risk. If tokenized markets grow, institutions will need custody, risk management and connectivity capable of handling both conventional securities and blockchain-based assets.

RQD’s strategy is to position its platform between those environments rather than wait for digital assets to develop into a separate market structure.

That makes Bain Capital’s investment partly a bet on trading-volume growth today and partly on how securities infrastructure could evolve over the longer term.

Bain Adds to RQD’s Institutional Investor Base

Bain Capital joins an existing RQD investor group that includes ABN AMRO Clearing Bank, Nyca Partners, Gentree Fund and Belvedere Strategic Capital. ABN AMRO and Nyca also participated in the latest financing.

The participation of a clearing bank alongside growth-equity investors gives RQD a shareholder base spanning both financial infrastructure and private capital.

For Bain, the minority structure also differs from the firm’s large control transactions. PE NEWSWIRE has previously examined Bain’s ownership exposure through its investment in education software provider PowerSchool, highlighting the operational and governance issues that can accompany control-oriented private equity investments.

RQD instead represents a growth investment in a business whose value proposition is tied to transaction processing and financial-market infrastructure.

Clearing Becomes a Private Capital Opportunity

The attraction of clearing infrastructure is being strengthened by structural changes in trading.

Options activity has accelerated, extended-hours equity trading is expanding, international platforms want greater access to U.S. securities, and financial institutions are exploring tokenized assets. Each trend creates additional technological requirements behind the trade itself.

RQD’s current market share remains relatively small — particularly its estimated 0.63% share of options activity — leaving room for growth but also illustrating the scale of established competitors.

Bain Capital’s $74 million-led investment gives the company additional capital to pursue that opportunity internationally while expanding its product set.

The significance for private markets is therefore broader than another fintech financing. Bain is investing in the infrastructure required to process an expanding volume of financial activity, providing exposure to the growth of options and digital trading without depending on a single asset class, brokerage brand or trading strategy.

If RQD can increase its share while moving into digital-asset custody and tokenization, the transaction could give Bain Capital Tech Opportunities exposure to both today’s record trading volumes and the longer-term modernization of securities-market infrastructure.
