Bridgepoint Buys GBA Group as Ardian Completes Exit

Bridgepoint Backs GBA Group Following Acquisition From Ardian

Ardian has agreed to sell its majority stake in GBA Group, a German-based provider of laboratory testing and life sciences services, to Bridgepoint, marking the exit of a five-year investment during which the business more than doubled its revenue through international expansion, acquisitions and investment in digital capabilities. Financial terms of the transaction were not disclosed, although Reuters reported the deal values GBA at more than €1 billion.

The transaction, which is expected to close by the end of 2026 subject to customary regulatory approvals, will see Bridgepoint acquire a majority stake in the Hamburg-headquartered company while GBA’s management team remains invested in the business. Ardian will exit the vast majority of its holding following its acquisition of the company in 2021.

Founded in 1989, GBA Group has evolved into one of Europe’s largest laboratory-centric testing, inspection and certification (TIC) platforms. The company employs more than 3,500 people, operates approximately 100 locations across Europe, North America and Asia-Pacific, and serves more than 60,000 customers in sectors including food, environmental testing, pharmaceuticals, chemicals, medical devices and cosmetics.

Ardian Doubles Revenue Through Buy-and-Build Strategy

Since acquiring GBA in 2021, Ardian implemented an ambitious value-creation strategy centered on both organic growth and acquisitions.

The private investment firm supported the expansion of laboratory capacity, investment in automation and digitalization, development of AI-enabled laboratory services, and the extension of GBA’s pharmaceutical capabilities into the medical devices and cosmetics sectors. The company also broadened its geographic footprint beyond its traditional DACH market into Europe, Southeast Asia and the United States.

A major driver of growth was an aggressive buy-and-build strategy that included 19 strategic acquisitions, helping transform GBA into a more diversified international laboratory services provider.

The combination of acquisitions, infrastructure investment and stronger relationships with multinational customers enabled GBA to more than double its revenue during Ardian’s ownership period.

Gunnar Chrestin, Managing Director in Ardian’s Buyout team, said the investment demonstrated the firm’s ability to execute a comprehensive value-creation strategy supported by favorable industry fundamentals.

He said increasing regulatory requirements, targeted acquisitions and strong execution by GBA’s management team helped unlock significant value during the partnership.

Bridgepoint Eyes Continued International Expansion

For Bridgepoint, the acquisition strengthens its presence in one of the most resilient segments of the business services market.

The firm said it intends to support GBA’s continued international expansion, invest in technical capabilities and digitalization, recruit additional scientific talent and pursue selective acquisitions to broaden the company’s service offering.

Bridgepoint brings considerable experience in the TIC sector, having previously invested in companies including Element Materials Technology, LGC, Alcontrol, Fera Science and NMi. During its ownership of Element Materials Technology, Bridgepoint significantly expanded the company’s global laboratory network while quadrupling revenue.

He said the business plans to continue investing in capabilities, accelerate international expansion and pursue additional acquisitions while building on the progress achieved during Ardian’s ownership.

Testing Sector Continues to Attract Private Equity

The transaction reflects continued investor interest in the global testing, inspection and certification industry, a sector that has become increasingly attractive to private equity firms because of its defensive characteristics, recurring revenue streams and structural growth drivers.

Demand for laboratory testing services continues to expand as governments introduce stricter environmental, food safety and healthcare regulations while manufacturers face increasing requirements around product quality, traceability and compliance.

These long-term trends have supported sustained consolidation across the TIC industry, where fragmented markets continue to create acquisition opportunities for well-capitalized platforms seeking to expand geographic coverage and technical expertise.

Private equity firms have been particularly active in the sector, viewing laboratory testing businesses as attractive investments due to their stable customer relationships, specialized technical capabilities and relatively resilient demand across economic cycles.

Strategic Exit Highlights Value Creation

The sale represents another successful exit for Ardian’s buyout strategy, which focuses on partnering with management teams to accelerate operational improvements, international expansion and acquisition-led growth.

For Bridgepoint, the acquisition provides a scalable platform from which to pursue further expansion in a market benefiting from favorable regulatory and scientific trends.

As demand for laboratory testing, environmental monitoring and life sciences services continues to increase globally, GBA appears well positioned to capitalize on long-term industry growth supported by rising compliance requirements and expanding healthcare and pharmaceutical markets.
